Purpose of Agreement

These Terms and Conditions ("Terms") govern your use of the Rideon by Citrus SaaS platform, owned and operated by Citrus Labs Limited.

Acceptance of Terms

By creating an account or using Rideon by Citrus, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you may not use the platform.

User Eligibility Criteria

You must:

• Be at least 18 years old.
• Be a registered PSV operator, organization, or authorized administrator.

Account Creation & Security

• Accounts are created via OTP verification linked to your registered email.
• You are responsible for maintaining confidentiality of login credentials.
• Any misuse under your account will be deemed your responsibility.

Scope of SaaS Services

Rideon by Citrus provides a digital platform to:

• Manage drivers, vehicles, and routes.
• Track fares, debts, and penalties.
• Automate financial verification through M-Pesa.
• Access comprehensive analytics dashboard.

Service Limitations

• Rideon does not process passenger payments directly.
• Service availability may be affected by third-party integrations such as M-Pesa or network downtime.

Lawful Use

You agree to use the platform solely for lawful PSV operations in Kenya.

Prohibited Activities

You must not:

• Misuse the platform for fraudulent activities.
• Attempt unauthorized access, reverse-engineering, or data scraping.
• Violate any applicable laws or regulations.
• Share your account credentials with unauthorized parties.

Compliance with Kenya DPA 2025

All personal and organizational data is processed in accordance with the Kenya Data Protection Act (2025) and overseen by the ODPC.

Data Handling & Consent

• Data is collected and processed with your consent.
• You retain rights of access, correction, and deletion.

Cross-Border Data Transfers

Where data is transferred outside Kenya, safeguards and ODPC approvals will be applied.

Ownership of Content

All software, trademarks, and platform content remain the property of Citrus Labs Limited.

License to Use Platform

Users are granted a non-exclusive, non-transferable license to access and use the platform for PSV management purposes.

Pricing Structure

• Fees may include subscription costs, transaction service charges, or penalties.
• Pricing is communicated transparently before charges are applied.
• All amounts are displayed in Kenyan Shillings (KES).

Billing Cycles & Refunds

• Charges are billed monthly or per transaction basis.
• Refunds are only issued for billing errors confirmed by Citrus Labs.

Uptime Commitments

Rideon aims to provide 99% uptime, excluding scheduled maintenance.

Maintenance & Downtime

Users will be notified of planned maintenance. Citrus Labs is not liable for downtime caused by third-party service providers.

Disclaimer of Warranties

The platform is provided "as is." Citrus Labs makes no guarantees on uninterrupted service or error-free performance.

Indemnification Clauses

You agree to indemnify Citrus Labs from claims arising from misuse of the platform under your account.

Termination by User

You may terminate your account at any time via account settings.

Termination by Platform

Citrus Labs may suspend or terminate accounts that breach these Terms.

Suspension for Misuse

Accounts engaged in fraud, illegal use, or security breaches may be suspended immediately.

Kenya Cloud Policy Compliance

Rideon by Citrus ensures that all cloud-hosted data complies with Kenya Cloud Policy 2025.

Regulatory Disclosures

Citrus Labs may disclose data if required by Kenyan law or regulatory authorities.

Jurisdiction: Kenyan Courts

All disputes shall be governed by the laws of Kenya.

Mediation & Arbitration Options

Where possible, disputes will first be resolved through mediation or arbitration before proceeding to court.

Update Notification

We may update these Terms periodically.

Effective Date of Changes

All changes become effective on the date indicated under "Last Updated."
